Website Project Agreement
By signing this agreement, you ("Client") agree to retain InsideTheSquare LLC ("Service Provider") to proceed with website design and development services as outlined in the attached proposal, and agree to the terms and conditions as set forth in this Agreement.
Project Scope and Timeline
Service Provider agrees to provide comprehensive website design and development services over a four-week period. This includes an initial consultation, brand analysis, development of your web brand kit, complete website development, three revision sessions, and a launch call with website handover. Following the launch, you'll receive three months of priority support to ensure your complete satisfaction and success with your new website.
During this four-week intensive process, Service Provider will create your home page, about page, store with product pages, lead magnet sign up page, blog framework, membership area, and book launch page. Additionally, based on our Phase 1 discovery process, up to three (3) additional pages may be developed at no extra cost. Client will be expected to attend all scheduled calls and provide necessary materials in a timely manner. Failure to attend calls or provide materials may delay project progress and impact the final delivery date.
All work will be performed remotely by Service Provider during normal business hours (9:00am – 6:00pm PST on weekdays).
Post-Launch Support
During the three-month priority support period following your website launch, Service Provider will be available to provide training, answer questions, and assist with website management. This includes blog post services at $400 per 2-hour block, with up to 4 support hours available weekly. Support requests will receive responses within one business day.
This support period is specifically for training and assistance with work completed during the initial project. Any additional design or development work beyond the original scope will be billed at Service Provider's current rates.
Payment Terms
Payment for these services will be $5,000 USD, structured as follows:
- A non-refundable deposit of $2,500 is due at the time of booking
- The remaining balance of $2,500 must be paid before website launch
Additional expenses exclusive of normal overhead are not included in this agreement and will be billed separately. Examples of such expenses include domain registration, hosting fees, premium plugin or theme licenses, third-party application services, stock photography, and font licenses. Service Provider will obtain Client's approval before incurring any additional expenses.
Ownership and Rights
The results of any and all work performed by Service Provider for Client, including original creative work, will remain the property of the Client upon final payment. Client may use this material in any way deemed appropriate after final payment has been received.
Client understands and agrees that Service Provider may use the completed website, including screenshots and descriptions, in Service Provider's portfolio and marketing materials. Client authorizes Service Provider to use their name, brief biographical information, and testimonials for marketing purposes.
Project Timeline and Rescheduling
This project purchase is non-refundable but may be transferred to another date or service with 14-days prior written notice. The Client's deposit is valid for 120 days and must be used within that timeframe. In the event the project fails to begin within 120 days due to Client delays, or the Client fails to provide necessary materials or feedback, the deposit will be forfeited, and the project will be terminated.
If Client wishes to restart beyond the 120-day period, the original deposit may, at Service Provider's discretion, be applied to a new booking at the current rate, which may be higher than the original booking rate.
Mutual Understanding
Both parties agree to maintain professional and timely communication throughout the project. Client agrees to provide necessary content, feedback, and approvals within agreed timeframes, and Service Provider agrees to meet project milestones and maintain regular communication about project progress.
Service Provider's liability shall be limited to the amount paid for services and shall not include any consequential damages. Both parties agree to attempt to resolve any disputes through mediation before pursuing other legal remedies.
This Agreement, including the attached proposal, represents our complete understanding and supersedes any prior discussions. Any modifications must be made in writing and agreed to by both parties.
